Meaning
Legal agreements that govern the transfer of physical possession of personal property without transferring ownership establish a relationship where one party holds the asset for a specific task. Under a bailment contract, the receiver must return the property or dispose of it according to the owner’s instructions once the contract completes. This instrument frequently applies to manufacturing agreements where raw materials or tooling are sent to an offshore contractor.
Custodial Responsibility
Standard of care required from the temporary holder of the assets depends on the division of benefits in the agreement. If the arrangement is solely for the benefit of the bailor, the bailee is held only to a basic standard of care and is liable only for gross negligence. In commercial setups, where both parties gain financial advantage, the legal expectation rises to a higher level of professional diligence.
This commercial standard requires the processor to protect the materials against theft, damage and unauthorized use.
Return Covenant
Possession of the asset must revert to the original owner upon the occurrence of a specified condition or expiry of a set period. Written agreements must contain precise retrieval procedures to prevent the supplier from retaining valuable equipment after the assembly phase ends. Failure to return the assets on demand constitutes a breach of the contract terms and enables immediate repossession proceedings.
Asset Insurance
Financial protection of the materials while in transit or stored at a third-party facility remains a debated negotiation point. The agreement must allocate the cost and obligation of securing comprehensive insurance coverage to one of the parties.
