Secured custody arrangements are established to hold shares or acquisition funds during the period between the grant and the potential exercise of a purchase right. The option grantor deposits the shares into the custody of an escrow agent immediately upon executing the option agreement. Along with the shares, the grantor delivers blank stock transfer forms signed by the registered owner. This action ensures that the option holder can execute the purchase without requiring further cooperation from the seller.
Release Mechanism
Release of the escrowed materials occurs when the option holder delivers a signed exercise notice and proof of payment to the agent. If the option expires unexercised, the agent returns the shares and the transfer documents to the original grantor. This double-sided protection reduces transaction risk for both parties during the option period.
Investor Protection
Ventures use this specific structure to mitigate the risk of default by founders or early-stage investors who might otherwise refuse to deliver shares when called upon by the purchaser. Holding the assets in a call option escrow provides the purchaser with an enforceable route to complete the transaction without relying on court orders or litigation. The mechanism secures the option holder’s commercial bargain by taking physical control of the shares and the transfer documentation at the inception of the contract.
