Release of the retained funds typically occurs within twelve to twenty-four months after closing if no capitalization disputes arise. The duration of the holdback corresponds to the survival period of the fundamental representations in the merger agreement. Once this term expires without claims, the escrow agent distributes the cash to the selling shareholders.
Claim Settlement
Distribution of the escrowed amount is automatically reduced if the buyer suffers losses from outstanding security holders. The settlement process requires the buyer to submit a formal claim notice detailing the cap table error and the resulting financial damage. If the shareholder representative does not object, the funds are paid directly to the buyer.
