Meaning
Accounting adjustments reduce the final purchase price of a company by the total amount of outstanding wage obligations owed at the time of closing. A completion statement payroll debt deduction governs the valuation gap between the estimated debt at the signing of the deal and the actual debt on the day of completion. This mechanism ensures the buyer does not pay for costs that belong to the seller’s period of ownership.
It stops applying once the parties have signed the final completion statement and the cash has moved.
Liability Capture
The calculation includes every penny of accrued vacation time and unpaid overtime for the entire staff. Managers must verify that social security taxes and pension contributions are current. This process prevents the buyer from inheriting hidden expenses that would lower the return on the investment.
Price Offset
This final amount is taken directly from the payment made to the seller. If the payroll debt is higher than the estimate, the buyer keeps that portion of the money to pay the employees. This protects the cash flow of the business in the first months of new ownership.
The seller receives the remainder of the sale price after all such deductions are settled.
Settlement Step
Both parties review the payroll records to agree on the final number. This audit usually happens within sixty days of the handover. Once the agreement is signed, the deduction is final and cannot be challenged later.
