A financial arrangement in company acquisition transactions where a portion of the purchase price is placed with a third-party agent pending the receipt of necessary third-party consents. The use of a consent holdback escrow protects the buyer from the financial impact of failing to secure consents for critical contracts.
Release Mechanism
Transfer of the escrowed funds occurs systematically as each designated consent is obtained and presented to the escrow agent. If a landlord or joint venture partner refuses to consent to the transaction, the buyer receives a corresponding refund from the consent holdback escrow. The contract defines specific deadlines, and any funds remaining after the expiry date return to the buyer.
Disputed Claim
Resolution processes for conflicting instructions are defined in the tripartite escrow agreement. The escrow agent halts any release of funds if either party submits a formal objection within the specified notice period. Arbitration or judicial determination must then resolve the deadlock before the bank executes any further transfer of the disputed consent holdback escrow amount.
This mechanism prevents the seller from withdrawing cash while the validity of a required lease assignment remains unresolved.
