The liability settlement phase involves negotiating with creditors to agree on final payout figures and receiving signed releases that prevent future legal actions. For example, if a firm has outstanding liabilities of one hundred thousand dollars but only holds eighty thousand dollars in cash after liquidation, it must negotiate a pro-rata settlement of eighty cents on the dollar with its unsecured creditors.
Each creditor signs a deed of release, which cancels the remaining debt and protects the directors from personal liability claims. This phase completes the legal dismantling of the company by clearing all unpaid balances and ensuring that no claims remain to block the final dissolution.
