Meaning
Legal dissolution of a business entity involves the settlement of all outstanding liabilities and the distribution of remaining assets to shareholders. A corporate winding up occurs under specific insolvency or voluntary liquidation frameworks defined by local jurisdiction. It marks the formal end of the company as a legal person.
This procedure starts with a board resolution or a court petition.
Liquidation Sequence
Management authority typically transfers to a professional liquidator who takes custody of the books and records. The liquidator identifies assets for sale and invites creditors to prove their debts. Compulsory liquidation happens when a company cannot pay its debts as they fall due.
Voluntary liquidation allows shareholders to close a solvent business. This phase ensures that the assets are converted into cash to satisfy legal obligations.
Creditor Priority
Distribution follows a strict statutory order where secured creditors and preferential employees receive payment before unsecured claimants. Shareholders receive the residual surplus only after the liquidator satisfies all legitimate claims. This ranking ensures that legal costs and taxes take precedence over junior debt.
Dissolution Notification
The company remains in existence as a legal shell until the registry removes its name. Once the liquidator files the final accounts, the legal personality of the firm ceases to exist. Any remaining property that was not distributed before the registry strike off passes to the state.
Finality in this process prevents further legal action against the entity.
