Meaning
Corporate unwinding procedure governs the termination of a company’s legal existence and the orderly distribution of its remaining assets to creditors and shareholders. When a venture fails or reaches its natural end, entity dissolution liquidation executes the final distribution of capital. The process is governed strictly by the corporation’s jurisdiction of incorporation.
Statutory Order
Statutory priority rules dictate the sequence in which the liquidator pays out the collected proceeds to the claimant groups. Secured creditors hold the highest claim, followed by unsecured creditors and then preferred equity holders. Ordinary shareholders receive only the residual cash if any remains after all prior liabilities are satisfied.
Director Obligation
Board members face shifting fiduciary responsibilities as the company enters the zone of insolvency and begins the dissolution process. Their primary duty shifts from the shareholders to the creditors of the firm. Failure to protect creditor interests during this transition can expose directors to personal liability for wrongful trading or breach of duty.
In some jurisdictions, this liability extends to personal assets if they allowed the firm to incur new debt while insolvent.
Asset Realisation
Asset realisation converts the physical and intellectual holdings of the firm into cash through structured sales or auctions. This phase requires a balance between speed and value recovery to maximize the return for outstanding claims. Receivers oversee these transactions to prevent undervaluation and ensure arms-length terms are maintained.
