Meaning
Transactional milestones mark the point at which conditions are satisfied and funds or assets are released from a neutral third party. Achieving escrow completion signifies that both parties have fulfilled their delivery obligations under the sale agreement. This process provides security to the buyer that the assets exist and to the seller that the funds are available.
Release Condition
Parties must submit specific proof to the agent that the underlying deal requirements are met. For escrow completion to occur, the agent must receive signed confirmation from both the buyer and the seller. These conditions might include the delivery of title deeds, the registration of a mortgage, or the approval of a regulatory body.
Once the agent is satisfied, they initiate the transfer of the held property to the designated recipient.
Agent Obligation
The neutral party holding the assets must act strictly according to the written escrow instructions. Before escrow completion, the agent cannot take direction from only one party to the transaction. They are liable for any loss if they release the funds prematurely or fail to act once the conditions are satisfied.
This role is typically filled by a bank, a law firm, or a dedicated trust company.
Final Settlement
Disbursement of the funds marks the end of the temporary holding arrangement and the finality of the deal. Escrow completion results in the immediate update of the company share register and the transfer of legal title. Final payment is often contingent on the delivery of physical stock certificates or digital keys.
