Capital Registration
The initiation of a foreign venture requires the immediate registration of the initial capital injection with the local foreign exchange administration. This step ensures that the incoming foreign currency is officially recognized as equity capital rather than a loan. The registration must be completed within a statutory timeframe after the funds enter the country.
If the company fails to complete this registration, the funds cannot be converted into local currency for operational use, causing significant project delays. Therefore, the transaction documents usually make the completion of these registrations a condition precedent to the second closing of the investment round.
Remittance Clearance
When the time comes to pay dividends or liquidate the investment, the company must present the original recordals to the bank. The bank verifies that the funds being remitted correspond to the registered equity capital and the legally declared profits. Without these records, the bank cannot approve the remittance of funds, which traps the investor’s capital inside the host country.
Regulatory Sanction
Failure to maintain accurate foreign exchange records can lead to regulatory audits and the suspension of the company’s foreign exchange accounts. In severe cases, the regulator can block the firm from engaging in any future cross-border transactions.
