Eliminating the requirement to fund transaction taxes on a large acquisition greatly improves transaction economics. This going concern exemption removes the need for the buyer to arrange short term bridge financing to cover the tax payment before it is refunded by the government. Such a benefit can represent up to twenty percent of the total purchase price depending on regional tax rates.
By avoiding this cash flow drain, the parties can allocate more resources directly to post acquisition growth and integration. The immediate preservation of working capital enhances the financial stability of the restructured entity from its first day of operations.
