Meaning
A protective legal or contractual measure maintains the condition and value of disputed or transitioning property while a transaction or litigation is finalized. Implementing interim asset preservation prevents either party from selling or neglecting the assets during the resolution process. This mechanism is frequently used in cross-border acquisitions or joint venture terminations to protect the underlying investments.
It does not apply to routine operational consumption or pre-approved disposals.
Legal Injunction
Arbitral tribunals can order the holding party to maintain the property in its current state until the final ruling. This legal injunction protects the claimant from having the disputed machinery sold or moved to another jurisdiction. It provides security while the primary legal dispute is negotiated.
Operational Maintenance
Parties holding the factory or equipment must continue performing routine maintenance and security tasks. This operational maintenance prevents the depreciation or decay of physical assets during the transition phase. It ensures the assets remain functional when the final ownership is decided.
Escrow Protection
Neutral third parties can be appointed to manage the custody of the assets during the preservation window. This escrow protection eliminates the risk that the party currently holding the assets will devalue them to damage the other claimant. It remains in place until the transaction completes or the court issues a final order.
