Meaning
Official registration of an asset in the public records of a jurisdiction identifies the entity held responsible for its obligations and entitled to execute transfers. While legal ownership confers the right to deal with the property, it does not always include the right to enjoy its economic benefits. This role is often administrative in nature.
Statutory Title
Appearance of a name on the company register provides prima facie evidence of who holds the formal position. In cases where legal ownership is held by a trustee, the name on the register is that of the fiduciary rather than the beneficiary. This public record is what third parties rely upon when purchasing the asset.
Fiduciary Duty
Obligations to act in the best interest of another party often accompany this form of holding. A person with legal ownership must follow the terms of the trust deed or the custody agreement. They are prohibited from using the asset for their own gain or ignoring the instructions of the beneficial owner.
Liability Attachment
Responsibility for taxes and regulatory compliance rests with the party identified as the owner in the eyes of the law. Because legal ownership is the visible face of the asset, authorities direct their notices and demands to the registered holder. This includes the duty to pay any calls on unpaid shares or satisfy environmental liens.
The separation of this title from economic interest is common in complex corporate structures. It allows for professional management of assets while the actual value remains with the investors.
