It is particularly relevant when a foreign investor seeks to enforce a share transfer order against a company registered in an offshore financial center.
Recognition Procedure
Filing a formal application for recognition requires presenting certified copies of the foreign order alongside detailed legal arguments demonstrating that the foreign court had proper jurisdiction. The domestic judge will examine whether the original proceeding adhered to the principles of natural justice and did not violate local public policy. If the application is successful, the local court endorsement is granted, effectively converting the foreign order into a domestic judgment.
This domestic status allows the applicant to utilize local law enforcement officers and bailiffs to execute the order. The company register must then be amended to reflect the court’s decision.
Jurisdictional Power
The domestic court retains full discretion to refuse the application if the foreign order exceeds the foreign tribunal’s authority. Disputes often arise when the foreign court tries to order changes to the register of members directly. Domestic courts will reject such orders unless the proper local procedure is followed.
Execution Effect
