When using net share settlement, the participant receives only the remaining balance of shares as a net gain. This approach simplifies the process for the employee by removing the need to sell shares on the open market immediately after exercise.
Treasury Impact
Reductions in the total number of shares issued help to manage the dilution of the existing ownership. Because net share settlement results in fewer shares entering circulation, the company effectively performs a small buyback of its own equity at the current market price. This can be more efficient than issuing the full amount and then having the employee sell them to a third party, which would increase the volume of shares on the market.
The board of directors often prefers this method in private companies where maintaining control over the cap table is a priority.
Tax Satisfaction
Cash payments to the tax authorities are made by the employer using its own funds to match the value of the withheld shares. Through net share settlement, the company takes on the responsibility for the immediate cash outflow to cover the withholding tax. The firm then accounts for this by reducing its share capital or increasing its treasury stock.
Share Issuance
Final delivery of the equity to the employee completes the vesting or exercise cycle. Under net share settlement, the legal transfer involves only the shares that the employee will keep for their portfolio. This reduces the administrative work required to manage the share register.
