Transaction Validity
Presence of a payment, however small, ensures that a court views a contract as a bargain rather than a gift. Under the law, nominal consideration is sufficient to support a deed or a share transfer even if the market value of the item is much higher. This prevents a party from later claiming the contract is void because they received nothing in exchange for their property.
Asset Transfer
Moving shares or intellectual property within a group of companies relies on this legal fiction to keep the books clean. By using nominal consideration, the legal team can execute a series of transfers without needing to perform a full valuation of the assets at every step. This accelerates the timeline for a corporate exit or a restructuring before an initial public offering.
Legal Enforcement
Binding nature of the deal is secured once the tiny sum is actually paid and the receipt is acknowledged. While nominal consideration satisfies the formal requirements of contract law, it does not protect the transaction from being challenged as an undervalue transfer in insolvency proceedings. Creditors might still argue that the deal was a fraud on the estate if the company was insolvent at the time of the transfer.
This risk is managed by ensuring the company is solvent before any such agreement is signed. The use of a peppercorn or a dollar remains a standard practice in commercial drafting.
