Meaning
Fiduciary arrangement where the shares of a special purpose vehicle are held by trustees for a specific goal rather than for individual beneficiaries. An orphan purpose trust ensures that the company it owns is not part of any larger corporate group for accounting or bankruptcy purposes. The trust remains in existence until the underlying transaction is complete or the trust period expires.
Off-Balance Sheet Structure
This setup prevents the assets and liabilities of the vehicle from being consolidated into the financial statements of the transaction sponsor. Because the orphan purpose trust owns the shares, the company is an orphan with no parent entity to provide support or claim its profits. This separation is required by rating agencies to achieve a high credit rating for structured finance deals.
Enforcer Appointment
Legal frameworks in jurisdictions like the Cayman Islands or Jersey require a person to oversee the trustees to ensure the purpose is followed. The enforcer of the orphan purpose trust has the power to remove trustees and audit the trust’s activities. This role provides the oversight that would normally be provided by beneficiaries in a standard trust.
Terminal Distribution
Documents must specify where any remaining funds go once the purpose of the trust is fulfilled. Often, the orphan purpose trust is instructed to donate the final nominal balance to a charity. This ensures that no commercial entity can claim an ownership interest in the vehicle during its lifetime.
