Meaning
Statutory provision in China’s patent legislation governs the transfer of patent application rights and patent rights. Under prc patent law article 10, any transfer of patent rights from a Chinese entity or individual to a foreign party must receive approval from the competent department of the State Council. It acts as a primary regulatory gatekeeper for outbound technology transfers and cross-border licensing transactions.
Regulatory Approval
Outbound transfers of technology assets require screening by trade and science authorities to ensure national security and economic interests are protected. This screening applies to patents, patent applications and proprietary technology associated with the patents. A transfer that occurs without this approval is invalid and exposes the parties to administrative penalties.
Transfer Procedure
Written contracts must be executed by both parties to effectuate any transfer of patent rights or application rights. This contract must be registered with the China National Intellectual Property Administration to become legally effective. The transfer of ownership occurs on the date of registration, not on the date of contract execution.
Compliance Management
Joint ventures and international research collaborations must structure their intellectual property allocation clauses to comply with these restrictions. This compliance prevents unexpected blocks when foreign partners seek to expatriate joint development results. Legal teams conduct diligence to confirm that all historical transfers of Chinese origin patents have obtained the necessary approvals.
Failure to comply can delay cross-border acquisitions and cause significant write-downs of intellectual property value during the exit phase.
