Investment documents specify an ultimate deadline, known as the longstop date, by which all conditions precedent must be satisfied. Cost Allocation
Prolonged waiting periods create additional financial exposure for both parties due to market changes and ongoing operational costs. Transaction agreements often specify how these interim expenses are divided and whether the purchase price will be adjusted. Termination Right
If the extended period expires without obtaining the necessary approvals, either party can terminate the agreement. This exit right is usually accompanied by a break fee if the failure is attributable to one party’s lack of cooperation.
