Settlement Protocol
Execution mechanics govern whether restricted stock units settle through newly issued treasury shares, secondary market purchases, trust allocations or cash disbursements. Upon satisfying contractual vesting milestones, the company instructs its transfer agent to register ownership title directly to the participant. If the underlying plan permits net settlement, the employer cancels a fraction of the earned shares to fund required payroll tax liabilities on behalf of the participant.
The remaining unencumbered equity shares deposit into the individual brokerage account as freely transferable corporate stock.

Issuing contingent equity awards impacts shareholder voting dilution and corporate balance sheet reserves. Shareholder agreements establish formal share authorization pools that restrict how many restricted stock units a board of directors can grant across consecutive fiscal years. Unlike traditional stock grants, unvested units carry no voting power and yield no cash dividend rights prior to formal settlement. Instead, some enterprise plans award dividend equivalent units that accumulate during the restriction window and pay out exclusively upon vesting. This governance architecture prevents departing or non-performing management from altering shareholder resolutions or receiving capital distributions before earning ownership rights.
Tax Realization
Sovereign tax authorities recognize taxable employment compensation when the underlying units vest and transfer to the beneficiary. Unlike incentive stock options where gains depend on growth above a strike price, restricted stock units produce ordinary income liabilities based on the entire market value of the shares at settlement. Employers must collect statutory wage withholding at the instant shares vest, regardless of whether the recipient sells or retains the stock.
The resulting tax basis equals the market value realized on the delivery date.
