Interest Distinction

A true profits interest yields zero cash distributions under that same immediate liquidation scenario, deriving value exclusively from future earnings or asset appreciation.
Capital interest transfers remain taxable as ordinary compensation income equal to the fair market value of the immediate liquidation right.
Disqualification Exception
Administrative safe harbor protection terminates if the profits interest grants rights to a substantially certain and predictable stream of income from partnership assets.
