Maintaining these digital records imposes specific statutory obligations on the brokerage firm or bank holding the assets. The intermediary must maintain a sufficient quantity of financial assets to satisfy all outstanding securities entitlement claims of its customers. It must also pass through economic benefits, such as dividends and interest payments, to the entitlement holders.

Creditor Protection
Isolating customer holdings from the operational risks of the financial institution is a core objective of modern commercial codes. In the event of an intermediary’s insolvency, the assets held to support a securities entitlement are not considered part of the intermediary’s general estate. This rule prevents the general creditors of the bank or broker from seizing client investments to satisfy the institution’s debts.

Collateral Perfection
Lenders often rely on these investment accounts as high-quality collateral to secure commercial loans. To perfect a security interest in a securities entitlement, the secured party must obtain control, which is typically achieved through a three-party control agreement. This agreement obligates the intermediary to comply with entitlement orders originated by the lender without the further consent of the debtor.
This direct control ensures that the lender has priority over other creditors who might attempt to claim the same assets later. It also gives the lender the power to liquidate the account if the debtor defaults on the loan, providing a reliable and rapid mechanism for debt recovery.
