Legal Limits
Boundaries of this right center on the certainty of the figures and the legal nature of the money being claimed. Set off rights rarely apply when the amount is a target of an ongoing and loud dispute where the final figure is not yet decided by an independent party. For example, a buyer cannot normally set off an unproven warranty claim against a fixed payment for delivered inventory.
Doing so might break local consumer or commercial laws that demand clean payments for delivered physical units. Most institutional contracts require a notice period during which the other side can protest the intended reduction in payout. If no valid objection is filed within that window, the set off becomes a formal entry in the corporate ledger and the net amount is wired.
