Sellers guarantee that the shares are free from any liens, charges or third-party claims that could complicate the title. If a breach of these promises occurs after the share transfer agreement is signed, the buyer can seek indemnification for any losses or legal costs incurred.
Stamp Duty
Revenue authorities in many jurisdictions require the payment of a tax on the value of the transaction before the transfer is recognized as legally valid. The share transfer agreement serves as the primary evidence for the calculation of this duty and the subsequent issuance of a new share certificate.
