Exit Liquidity

Buyer Obligation
The purchaser of the majority stake must be willing to buy up to one hundred percent of the company. If the buyer refuses to include the minority, the tag along protections prevent the majority from completing their sale. This requirement can sometimes complicate large transactions but it maintains fairness among all equity holders.
