Notice Requirement
Notice must be given to the seller within a strict timeframe after the tax authority initiates an investigation. For tax indemnity enforcement to succeed, the buyer often has to allow the seller to participate in the defense of the tax claim. This cooperation ensures that the liability is minimized through proper legal channels.
The seller may have the right to appoint lead counsel for the defense.
Liability Recovery

Survival Period
