Compliance mandate for a purchaser to retain a portion of the purchase price and remit it to a revenue authority. A buyer withholding obligation arises most frequently when a foreign resident disposes of certain types of high-value property or shares in a land-holding entity. The law shifts the burden of tax collection from a potentially absent seller to the party providing the cash.
Compliance Process
Verification of the tax residency of the vendor is the first stage of the process. If the counterparty cannot provide a valid clearance certificate, the buyer withholding obligation requires the purchaser to calculate the percentage specified by law. Payment to the tax office must occur on or before the day of settlement.
Contractual Adjustment
Purchase agreements include clauses that explicitly permit the buyer to deduct these funds without being in breach of the contract. The price is considered paid in full once the remittance to the tax authority is completed. Documentation proving the payment is then handed to the seller so they can claim a credit in their own tax filing.
Failure Liability
Heavy penalties apply to the purchaser if the required amount is not withheld and paid. Revenue authorities hold the buyer personally responsible for the tax that should have been collected, even if the seller later pays their own tax bill. This risk makes the search for a clearance certificate a standard part of the pre-closing checklist in corporate acquisitions.
In some jurisdictions, the buyer might also face interest charges that accumulate from the date the payment was originally due. The financial exposure is absolute and does not depend on the buyer’s knowledge of the seller’s true tax status.
