Legislative instrument under German law that suspends the limitation period for civil and commercial claims while negotiations between the parties are pending. According to civil code section 203, the period of prescription is paused if the obligor and the obligee negotiate the claim or the circumstances giving rise to it. The suspension prevents a debtor from exploiting the limitation deadline during active settlement discussions.
The remaining portion of the limitation period only resumes running after the negotiations have terminated.
Negotiation Tolling
Negotiations of this nature do not require a formal written agreement to mediate. It depends on the exchange of communications regarding the disputed claim. For example, if a joint venture partner alleges a breach and the other partner agrees to review the records, the limitation period halts immediately.
Refusal Marker
The pause ends when one party refuses to continue the discussions. This refusal must be clear and unequivocal to restart the prescription clock. A silent withdrawal does not suffice, as the terminating party must communicate the formal end of the dialogue.
Contractual Safeguard
The provision protects the claimant against the expiration of claims during complex cross-border joint venture discussions. It ensures that the parties can exchange data and proposals without the claimant having to initiate emergency arbitration. This creates a stable environment for dispute resolution.
