Meaning
Contractual remedies in credit agreements allow lenders to declare all outstanding principal and accrued interest immediately due upon a specified borrower default. Under structured loan documentation, debt acceleration shifts the loan maturity from its original forward date to the date of notice, terminating the borrower’s right to repay on an installment schedule. The remedy ceases to operate if the lenders formally waive the default or if the borrower fully satisfies the accelerated debt balance.
Default Trigger
Covenant breaches or non-payment events activate lender rights to shorten debt maturities. Financial covenant failures and cross-defaults on other material obligations serve as formal prerequisites for declaring debt acceleration. Lenders must deliver formal written notice to the borrower unless the credit agreement provides for automatic acceleration upon bankruptcy filings.
Remedial Enforcement
Execution of remedies following maturity advancement empowers secured parties to initiate collateral foreclosures and enforcement proceedings. Once maturity advances, lenders may draw down outstanding letters of credit, enforce asset pledges and initiate enforcement lawsuits to collect full debt obligations.
Cure Period
Grace periods suspend lender acceleration rights while borrowers attempt to remedy underlying contract breaches. If the borrower corrects a non-monetary covenant default within the contractual cure window, the right to declare debt acceleration lapses for that specific instance.
