Documentation begins with the execution of a stock transfer form signed by the transferor. This form must be presented to the board of directors along with the existing share certificates for cancellation. If the company operates in a jurisdiction that imposes stamp duty, the transfer form must be stamped to prove payment of tax before any changes are made to the register of members.
The directors then review the transfer to ensure compliance with any share restrictions.
Direct Settlement
Settlement takes place when the consideration is paid and the transfer documents are delivered. Parties often use an escrow agent to hold the funds and the signed transfer documents until all closing conditions are satisfied. This reduces the risk of non-performance by either party.
Registry Update
Entry of the transferee’s name into the register of members represents the final step. It is this entry, rather than the execution of the stock transfer form or the payment of money, that confers legal title to the shares. The company’s secretary must then file the updated shareholding information with the national corporate registry to complete the process.
