The holder of these documents must ensure that the conditions for filing them have been met under the loan agreement. Filing them without a valid event of default constitutes a breach of contract and can lead to massive damage claims. This restriction prevents premature or abusive enforcement.
Registration Risk
Registered agents must exercise care when receiving these forms for registration. If they are put on notice that the transfer is disputed, they may refuse to register until the dispute is resolved. This refusal can stall the lender’s takeover strategy.
