Investment vehicle established for the purpose of holding a single discrete asset such as a piece of real estate or a specific project. A single asset holdco isolates the risks and liabilities associated with that specific asset from the rest of the investor’s portfolio. It is a standard tool in project finance and real estate investment structures.
Structural Purpose
Protection of the parent company from the debts of the asset is the primary goal here. If the asset fails or incurs a large liability, the creditors generally have no recourse to the other entities in the group. This single asset holdco structure makes it easier to sell the asset by simply transferring the shares of the company.
Financing Advantage
Lenders prefer this arrangement because it provides them with a clean security package. They can take a mortgage over the land and a pledge over the shares without having to worry about other business activities.
Operational Limit
Maintaining the integrity of this structure requires strict adherence to corporate formalities. The entity must not engage in any trade or business other than holding the specified asset. If the single asset holdco is used for multiple purposes, the legal veil that protects the owners might be pierced by a court during a bankruptcy or litigation.
