Meaning
The standard legal document used to execute the transfer of shares from an existing shareholder to a buyer is a required instrument in most jurisdictions. A stock transfer form records the details of the transaction, including the names of the parties, the class of shares and the purchase price. It governs the formal request to the company’s directors to register the change in ownership.
Execution Protocol
Both the transferor and the transferee must sign the document to make it legally binding. The signed form must then be submitted to the tax authority for stamp duty assessment before being delivered to the company secretary. This document acts as the physical evidence of the parties’ agreement to transfer the equity.
Board Discretion
Directors usually have the right under the articles of association to refuse to register a transfer submitted with this form. This discretion is typically used if the transfer violates a shareholder agreement or if the form is incomplete. If approved, the form is archived as proof of the transfer and the register of members is updated.
Commercial Security
Lenders often require a borrower to sign a blank version of this form as part of a share pledge agreement. This action allows the lender to quickly execute the transfer of the pledged shares in the event of a loan default. Having the pre-signed stock transfer form in hand gives the lender an efficient way to take control of the security without court intervention or cooperation from the borrower.
